JOBBER AGREEMENT FOR SALE OF GOODS
Agreement made [Date of Agreement], between [Name of Seller], of
[Address of Seller], [City of Seller], [State of Seller], in this agreement referred to as seller, and [Name of Buyer], of [Address of Buyer], [City of Buyer], [State of Buyer], in this agreement referred to as buyer.
RECITALS
A. Seller desires to sell [Quantity] [Type of goods], referred to in this agreement as the goods, to buyer.
B. Buyer desires to buy the goods from seller.
In consideration of the mutual promises and benefits contained in this agreement, the parties agree as follows:
SECTION ONE: SALE OF GOODS
Seller shall sell, and buyer shall purchase, the goods at a discount of percent [Discount Percent] % from the list price of the goods, which price is the established discount for jobbers from established list prices.
SECTION TWO: DISPLAY OF GOODS
Buyer shall maintain a representative amount of the goods on display at buyer's commercial premises and in stock at all times.
SECTION THREE: LIMITATION ON SALES AND DISTRIBUTION
Buyer shall not engage in the sale or distribution, either directly or indirectly, of any other similar goods for original equipment or for use in replacement or repairs or otherwise, which are in competition with the products of seller.
SECTION FOUR: RIGHT OF CANCELLATION
Either of the parties shall have the right to cancel this agreement on giving days prior written notice of the intent to do so to the other party.
